These Terms of Use (these “Terms”) govern all access to and the use of the JKMG Group Member Portal (the “Portal”). By accessing or using the Portal, you (each, a “Referral Member”) agree to be bound by these Terms.
Eligibility
Referral Members must be at least 18 and authorized to act for any organization they represent. The program is invitation-only, and nothing in these Terms guarantees an acceptance of the referral, a referral, a transaction, or any earnings.
No Professional Advice; No Securities Offering
JKMG facilitates introductions and referrals. We do not provide legal, financial, tax, accounting, or investment advice, and we are not a broker-dealer or investment adviser. Nothing on the Portal is an offer or solicitation to buy or sell any business or security.
Referral Members are solely responsible for obtaining independent licensed professional advice before acting. JKMG is not responsible for the outcome of any transaction, including whether a transaction occurs, closes, or results in any compensation.
Independent Contractor
Referral Members are independent contractors and not employees, partners, or agents of JKMG, and have no authority to bind JKMG. Nothing in these Terms creates any employment, partnership, or agency relationship. Any compensation provided to Referral Members is governed by a separate written agreement. Each Referral Member represents that they may lawfully receive referral compensation and will comply with all applicable laws, including any licensing, brokerage, healthcare, or referral compensation laws.
JKMG does not control the manner or means by which Referral Members perform their activities, and Referral Members remain solely responsible for their conduct and legal compliance.
Referral Member Responsibilities
Referral Members shall provide accurate information; maintain the confidentiality of deal information accessed and received; and obtain the proper authority and any required consent before submitting information about other people.
Electronic Communications & Signatures
Referral Members consent to receive communications and records electronically and to use electronic signatures (including via our e-signature provider), which have the same effect as handwritten signatures under applicable law (E-SIGN/UETA). Referral Members may withdraw their consent as described in those communications, recognizing it may limit their ability to use the service.
Acceptable Use
Referral Members agree not to misuse the Portal, attempt unauthorized access, upload unlawful content, or interfere with its operation.
Intellectual Property
The Portal and its content are owned by JKMG or its licensors. Referral Members receive a limited, revocable license to use the Portal for its intended purpose.
Disclaimers
The Portal is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law.
Limitation of Liability
To the fullest extent permitted by law, JKMG will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or earnings, arising from a Referral Member’s use of the Portal.
JKMG’s total liability for any claims arising out of or relating to a Referral Member’s use of the Portal will not exceed the greater of (a) $1,000 or (b) the total amount paid to Referral Members by JKMG in the twelve (12) months preceding the claim. The limitations in this section apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
Nothing in this section limits liability for JKMG’s gross negligence, willful misconduct, or fraud, or for any liability that cannot be limited or excluded under applicable law.
Indemnification
Referral Members agree to indemnify, defend, and hold harmless JKMG, its officers, directors, employees, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) from and against any claims arising from (i) their use of the Portal, (ii) their submissions, or (iii) their breach of these Terms.
Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or a Referral Member’s use of the Portal shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect, seated in Dallas, Texas. The arbitrator has exclusive authority to resolve disputes over the scope or enforceability of this arbitration agreement.
THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE ALL CLAIMS WILL BE BROUGHT INDIVIDUALLY, NOT AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable as to any claim, that claim shall proceed in court in Dallas County, Texas, and the remainder of this arbitration agreement remains in effect.
Either party may bring an individual claim in small claims court, and JKMG may seek injunctive relief in court to protect its confidential information or proprietary rights
Changes, Termination & Contact
We may modify these Terms or suspend access at any time. If any provision is unenforceable, the rest remains in effect. Questions: michael@jkmggroup.com.
Entire Agreement
These Terms constitute the entire agreement between JKMG and Referral Members regarding use of the Portal and supersede all prior or contemporaneous understandings relating to the Portal.
